TRIBE INDOOR CYCLING, LLC
TERMS & CONDITIONS, WAIVER & RELEASE

1. ACCEPTANCE OF TERMS. By accessing, booking, purchasing, or participating in any services provided by Tribe Indoor Cycling LLC d/b/a Tribe Cycle (“Tribe Cycle,” “Company,” “we,” “us,” or “our”), you (“Client,” “Member,” or “you”) acknowledge that you have read, understand, and agree to be legally bound by these Terms & Conditions, including this Waiver and Release of Liability. If you do not agree, you must not use the Services.

2. SERVICES. Tribe Cycle provides indoor cycling classes, fitness instruction, facilities, and related services, including use of its website and booking platform (collectively, the “Services”). Tribe Cycle reserves the right, at any time and without notice, to modify, suspend, or discontinue any Services.

3. ACCOUNT, PAYMENT AUTHORIZATION & FINANCIAL RESPONSIBILITY. You agree to provide accurate and current information, maintain a valid credit card on file, and remain fully responsible for all purchases, fees, and charges incurred on your account. By purchasing any Service, you expressly authorize Tribe Cycle to charge your card on file for class bookings, membership dues, late cancel and no-show fees, and any outstanding balances. Failure to maintain valid payment information may result in immediate suspension of booking privileges, removal from scheduled classes, and collection efforts on unpaid balances.

4. CANCELLATION, LATE CANCEL, NO-SHOW, WAITLIST & LATE ARRIVAL POLICY (STRICT ENFORCEMENT). Tribe Cycle operates on a reservation-based system with limited capacity. All cancellations must be completed through your account via the website or booking platform no later than eight (8) hours prior to the scheduled class start time; cancellations via email, text, social media, or third parties will not be accepted. Any cancellation within eight (8) hours of class start time shall constitute a late cancel and shall result in forfeiture of the applicable class credit, if any, together with a $15 late cancellation fee. Failure to attend a class or failure to cancel prior to the expiration of the 8-hour window shall constitute a no-show and shall result in forfeiture of the applicable class credit, if any, together with a $15 no-show fee. These policies apply to all clients, including unlimited memberships and promotional or discounted packages. By booking a class, you acknowledge that you are solely responsible for managing your reservations, cancellations, and waitlist status, and that failure to receive reminders or notifications does not excuse compliance. If added from the waitlist, you remain responsible for canceling within the required timeframe if you cannot attend. Tribe Cycle enforces these policies uniformly to ensure fairness, preserve class capacity, and avoid selective enforcement; accordingly, illness, injury, travel delays, work conflicts, weather, traffic, childcare issues, or other personal circumstances shall not excuse or waive applicable fees. Riders not present at least two (2) minutes prior to class start time may have their bike released, and entry shall not be permitted after the first song begins. No refunds or credits shall be issued for late cancellations, no-shows, or denied entry due to lateness. By booking any class or service, you expressly authorize Tribe Cycle to charge all applicable fees without additional notice and agree not to dispute or initiate chargebacks for validly assessed charges. Tribe Cycle reserves the right to restrict or suspend booking privileges or refuse service for repeated violations or attempts to circumvent these policies.

5. PACKAGES & MEMBERSHIPS. All sales are final and non-refundable, non-transferable, non-shareable, and non-extendable. Unused classes or time shall not be credited, refunded, or carried over for any reason, including injury, illness, travel, or scheduling conflicts, except where required by law.

6. AUTO-DEBIT & RECURRING BILLING. By enrolling in a membership, you authorize recurring automatic payments on a monthly basis on your designated billing date. Authorization remains in effect until canceled in writing. You are responsible for maintaining valid billing information and for any declined or failed payments. Tribe Cycle shall not be responsible for loss of class reservations due to failed billing.

7. MEMBERSHIP CANCELLATION. Membership cancellations require thirty (30) days’ written notice. Fixed-term agreements are subject to a $350 early termination fee. Verbal cancellations will not be accepted. Failure to pay required fees may result in account suspension, collections activity, and legal action.

8. NOTICE OF CONSUMER RIGHTS (MARYLAND LAW COMPLIANCE). To the extent required by applicable Maryland law, members may request cancellation under limited circumstances. Cancellation due to medical disability may be permitted upon submission of written certification from a licensed physician stating that you are unable to participate; Tribe Cycle reserves the right to request additional documentation and to deny incomplete or insufficient submissions, and cancellation shall be effective only upon written approval. Any refund required by law shall be prorated from the date of approval. Cancellation due to relocation may be permitted upon submission of reasonable written proof that your primary residence has permanently relocated more than twenty-five (25) miles from a Tribe Cycle studio; temporary relocation, travel, or extended absence shall not qualify. Cancellation due to death may be granted upon appropriate documentation from a legally authorized representative. All requests must be submitted in writing and are subject to verification, processing time, and any outstanding balances. These provisions apply only where required by law and do not apply to class packages or promotional offers except as legally mandated.

9. AGE REQUIREMENTS & MINOR LIABILITY. Participants must be at least sixteen (16) years of age. Participants ages 16–17 must have a parent or legal guardian execute this Agreement, and such parent or guardian assumes full legal and financial responsibility, including assumption of risk, waiver of liability, and indemnification. Failure to disclose a minor’s age shall void any claims against Tribe Cycle.

10. ASSUMPTION OF RISK (COMPREHENSIVE ACKNOWLEDGMENT). You acknowledge and agree that participation in indoor cycling and use of Tribe Cycle’s facilities, equipment, and services involve inherent, known, unknown, foreseeable, and unforeseeable risks, including but not limited to slips, trips, falls, equipment malfunction or failure, improper setup or use of equipment, physical exertion, fatigue, dehydration, muscle strain, orthopedic injury, cardiovascular events, rhabdomyolysis, environmental conditions, reduced visibility, and the negligent acts or omissions of Tribe Cycle, its staff, instructors, contractors, or other participants. You voluntarily assume all such risks and acknowledge that instructors provide general guidance only and cannot monitor all participants at all times. You represent that you are physically capable of participating, have no medical condition that would limit participation, and have not been advised otherwise by a physician. You acknowledge that you are solely responsible for proper equipment setup, your physical condition, and your participation, and that risks may arise at any time, including after participation.

11. WAIVER, RELEASE & INDEMNIFICATION. To the fullest extent permitted by law, you hereby release, waive, discharge, and covenant not to sue Tribe Cycle and its owners, officers, employees, instructors, contractors, and agents from any and all claims arising out of or related to participation, including claims arising from negligence. You further agree to defend, indemnify, and hold harmless Tribe Cycle from any claims, damages, losses, liabilities, or expenses, including attorneys’ fees, arising from your participation.

12. HEALTH REPRESENTATION. You represent and warrant that you are physically capable of participating and will discontinue activity if you feel unwell. Tribe Cycle reserves the right to require medical clearance.

13. STUDIO & SAFETY POLICIES. Participants must meet minimum height requirements of 4’11”. Studio access is limited to scheduled times, and staff may deny participation for safety reasons. All safety instructions must be followed.

14. COMMUNICABLE DISEASE WAIVER. You acknowledge and assume all risks associated with exposure to communicable diseases, including COVID-19, and agree not to attend if symptomatic or exposed. You release Tribe Cycle from any related claims.

15. INTELLECTUAL PROPERTY. All trademarks, branding, and materials are the exclusive property of Tribe Cycle and may not be used without written consent.

16. DISCLAIMER & LIMITATION OF LIABILITY. To the fullest extent permitted by law, Tribe Cycle shall not be liable for any indirect, incidental, or consequential damages, including service interruptions, data issues, or unauthorized access. Use of Services is at your sole risk.

17. GOVERNING LAW & VENUE. These Terms shall be governed by the laws of the State of Maryland. Any dispute shall be exclusively resolved in Anne Arundel County, Maryland.

18. SEVERABILITY. If any provision is deemed unenforceable, all remaining provisions shall remain in full force and effect.

19. ENTIRE AGREEMENT. These Terms constitute the entire agreement between you and Tribe Cycle and supersede all prior communications.

20. ACKNOWLEDGMENT & AGREEMENT. By booking, purchasing, or participating, you acknowledge that you have read and fully understand these Terms, are waiving significant legal rights, and voluntarily agree to all provisions.
